Contract & Terms for Services-Locum Staff in General
Practice
Contract company Wilthom Ltd t/a Wilthom Medical
This
is an agreement made between Wilthom Medical and Locum Staff Member
This
agreement commences Dates will be inserted unless
specified in writing by Wilthom Medical.
Purpose of Agreement
The purpose
of this agreement is not to establish a permanent working relationship but to
define the extent under which the relationship between Wilthom Medical and Locum Staff allows for there to be a contract for
services.
· The locum
staff member agrees to provide services for General Practice on a self-employed
basis through third party introduction by Wilthom Medical.
· The locum
may be engaged, employed or in occupation or activity elsewhere.
· The locum is
under no obligation or contract to provide services through Wilthom Medical.
· The locum understands
they shall not be entitled to sick pay, paid leave, holiday pay, maternity pay
or other employment benefits.
Location of work
The location
where services are provided will vary and will be set out in the booking form
sent to the locum prior to the shift commencing.
· Locations
may change at short notice but the locum can refuse any change of location they
are not happy with. Should the locum refuse to change location they understand
the shift may be cancelled and any payment agreed for the day will be forfeit.
Obligation for work
Wilthom
Medical shall be under no obligation to offer any engagement to the locum and
the locum shall not be under any obligation to accept engagement offered by
Wilthom Medical.
· Should the
locum accept work for any Practice outwith Wilthom Medical within 12 weeks of
being engaged there through Wilthom Medical then Wilthom Medical will be acting
as a Recruitment facility and the nurse will pay Wilthom Medical accordingly
the fee of £1000.
· Promptly
notify Wilthom Medical any private, non-NHS and/or fee-paying medical work
(including letters, reports and forms) which the Locum (or any Substitute)
undertakes in the Practice during the provision of service allocated by Wilthom
Medical and unless otherwise agreed a fee or remuneration received for such
work will be paid to Wilthom Medical .
· Once
engagement has been confirmed by booking form, the locum shall, unless
prevented by illness or injury or other reasonable cause, provide the agreed
services at the location and at the times, (and such other times as may be
necessary for the provision of service, i.e working overtime due to emergency
situations), as described in the booking form. Overtime will be paid at the
usual rate.
· If the locum
wishes to cancel an agreed booking they will give reasonable prior written or
verbal notice to Wilthom Medical who will then inform the practice.
· Should the
locum be unable to fulfil a booked shift they may offer a replacement to
Wilthom Medical of equal qualification in their place provided this replacement
is already approved by Wilthom Medical. DO NOT do this directly with the
practice.
· The hours of
working are determined in agreement with the locum and practice. However,
locums can determine their own start/finish times if they prefer.
· Should the
locum not accept work for a period of 4 weeks or more without notice or reason
he/she will be removed from Wilthom Medical’s database
Clinical/work obligations
The locum shall adhere to ALL aspects of the code of conduct pertaining to their particular Professional Organisation if applicable. Should the locum be unaware of this code of conduct it is their responsibility to make themselves aware of it. Wilthom Medical take no responsibility for locums who work outwith their Professional Accountability/Competencies.
· Provide
services with due care and skill to the best of their ability
· Provide
services in compliance with all applicable laws/governing bodies, regulations,
standards, code of practice & guidance relating to;

Health & Safety
Bribery act (2010)
The locum shall promptly report any unsafe, irregular or negligent practices observed
· All locum clinical
staff shall not work without the presence of a GP within the premises.
· All locums
shall actively encourage the development of goodwill between the Practice and
Wilthom Medical and ensure that any of their actions do not damage said
goodwill. The goodwill generated should be considered to belong to Wilthom
Medical.
· The Locum
should not inform patients or the GP practice of any information relating to Wilthom
Medical’s working practices.
· The locum
shall at all times shall not commit or omit to do in respect of the staff
and/or the patients any act or thing the effect of which could or is likely to
result in any liability for Wilthom Medical, and use reasonable endeavours to
comply with the Practice’s policies and procedures as notified from time to
time to the Locum . The locum should make themselves aware of any relevant
policies within the practices.

The locum shall at their own expense
maintain the following;
· The locum
shall at their own expense keep up to date with any mandatory training related
to their professional capacity.
· The locum
understands any training provided by Wilthom Medical is on a gratuity basis and
not based on employment status.
· It is not compulsory
but is advised that locums provide their own personal medical equipment
normally required for the provision of the Services. Including but not limited
to; BP monitor, Pulse Oximeter, Thermometer, Weight Scales, PF Meter and any
other moveable equipment the locum deems necessary. The practices should have
these items available to you.
· If the locum
completes home visits as part of their service they must ensure that they have
the appropriate motor vehicle insurance for business purposes in place as well
as ensuring their indemnity covers them for home visits. They must also have
completed the appropriate additional training or have the appropriate
experience to be able to carry out home visits.
· The locum
must promptly inform Wilthom Medical of any changes to either their eligibility
to practice or changes affecting PVG. The locum understands any changes may
result in their shifts being re-allocated to another staff member.
· On request,
promptly provide to Wilthom Medical any such information or reports as it may
from time to time reasonably require in connection with the provision of services.
· The locum
must not use or disclose to any third party any confidential information
relating to Wilthom Medical.
Wilthom Medical Obligations
Provision of
third party work information within General Practice settings
· Provision of
booking information relevant only to the carrying out of Locum work
· Provide
reasonable personal and clinical support and general information in order to
enable the Locum to provide the services to the General Practice
· Provide
intermediary contact between the locum and the practice.
· Provide
locum information as deemed necessary to the practices
· Ensure basic
legal qualifications are met by the locum
· As
intermediary we will notify the Locum of any complaints or ‘significant events’
(as defined by the NMC) in which the Locum has been personally named or
involved and advise on any action required or requested by the practice.
Payment
Payment for
services will be reimbursed on the 12th of the month following work
completed on the first to last working day of the previous month.
· Payment will
be by BACS transfer.
· Locums will
be informed as soon as is reasonable of their remittance prior to payment being
made and should check that all is in order. The remittance invoice must be
signed and returned prior to the 12th.
· Should the
remittance advice not be returned, no changes/errors will be actioned once
payment has been made on the 12th.
· Hourly rates
are paid as defined in the remittance.
· Lunches are
paid at the discretion of the practices and are subject to change.
· Travel payment
is paid at the discretion of the practice and is subject to change.
· Enhanced
rates are paid at the discretion of the practice and are subject to change.
Income Tax and National Insurance
The locum is
entirely responsible for their own tax and NI contributions and should inform
HMRC as soon as possible they are doing self-employed work.
· Wilthom
Medical bear no responsibility for locums who do not inform HMRC of their
position with regard to Tax and NI.
Pension Contribution
Locums are entirely responsible for their own pension contributions. No contribution will be made for them by Wilthom Medical and all locums are advised to seek advice from an independent accountant regarding the possibility of using their profit from locum work to contribute to a pension fund of their choice.
Expenses
All locum staff shall bear all own expenses incurred in providing services.
Cancellation of shifts (Surgeries)
If the practice cancels within 96 hours of the booked date 100% of the their booking must be paid minus any breaks/travel or other additions. This fee will be paid to the nurse.
More than 96 hours before the booked date then there is no charge to the practice and the nurse will not be paid any fee.
EQUALITY, INCLUSION AND DIVERSITY
We recognise that discrimination is unacceptable and equality of opportunity is a feature of our practices and procedures and we operate a formal equal opportunities policy. Breaches of the policy will lead to investigation and, if appropriate, further action.
· The aim of
the policy is to ensure no Locum is discriminated against either directly or
indirectly on the grounds of age, disability, gender reassignment, marriage and
civil partnership, pregnancy or maternity, race, religion or belief, sex or
sexual orientation.
· We maintain
a neutral working environment in which no Locum feels threatened or
intimidated.
· Locums must
not act in a discriminatory fashion towards any practice employees, workers,
other service suppliers or patients.
· We will
endeavour, to ensure that our managers making selection decisions will not
discriminate, whether consciously or unconsciously, in making these decisions
and that we adopt a consistent, non-discriminatory approach to the selection of
Locums.
Health & Safety
Locums
are responsible for their own health & safety at all times. Should they
feel this is in jeopardy whilst carrying out a locum service either in a
practice or outwith engagement, it is their own responsibility to inform the
practice of this and act accordingly.
CONFIDENTIALITY
Subject
to your statutory rights and as required in the course of your services
(including the sharing of information with other health professionals with the
consent of the patients and practices as required) you are required to preserve
the absolute confidentiality of the affairs of the patients and all matters
connected to the Practice. This obligation shall continue even after the service
has completed.
Any
breaches of confidentiality will be reported to the appropriate professional
body and will result in cessation of the arrangement between the locum and
Wilthom Medical.
Should
the locum, having been removed from Wilthom Medicals database, use practice
information given by Wilthom Medical to gain employment this will be seen as a
breach of confidentiality and acted upon accordingly.
DATA PROTECTION
The
Locum will act as their own Data Processor, as defined by data protection
legislation, on behalf of Wilthom Medical and the practice in regard to the
processing of Personal Data, including without limitation in relation to
Clients and Special Categories of Personal Data (terms which are defined by
data protection legislation).
The
Company collects and processes certain types of data about you and does so in
line with data protection legislation. Please read the Company’s Privacy Notice
which you have recieved for more information about the types of data processed
and the reasons for the processing, including special categories of data and
criminal convictions.
Termination
Either party
may terminate an Engagement with immediate effect with no liability to make any
further payment to the other party (other than in respect of any accrued Fees
as at the date of termination) if it commits any serious or persistent breach
of any of the above terms.
· Wilthom
Medical may terminate an Engagement with immediate effect with no liability to
make any further payment to the Locum (other than in respect of any accrued
Fees as at the date of termination) if the Locum:
Ceases to hold medical indemnity
cover in accordance with this agreement
Has any required mandatory training
qualifications not up to date
Is convicted of any criminal
offence.
Is deemed unable to provide service
to the level required of Wilthom Medical.
Provides service or
lack thereof which is detrimental to the image and reputation of Wilthom Medical.
On
expiry or termination of an Engagement the Locum shall return any property
belonging to Wilthom Medical and any original or copy documents created or
obtained by the Locum in the course of providing the Services and the Locum
shall, if requested by Wilthom Medical, irretrievably delete any electronic
information relating to the business of Wilthom Medical or any of the practices
which is in the Locum’s possession or control.
Should
the locum, having been removed from Wilthom Medical’s database, use practice
information previously given by Wilthom Medical, to gain employment this will
be seen as a breach of confidentiality and acted upon accordingly.

3. What personal data must you provide to us as part of a
statutory/regulatory or contractual requirement-Agency staff only
In certain circumstances you will be obliged to provide us
with personal data for a legal/statutory requirement or to enter into a
contract. Where this is the case we have identified these instances in the
table above with an “*.” If you fail to provide the personal data when
requested, we may not be able to accept you as an agency worker or continue to
place you into job opportunities.
4. What special category or criminal data does Wilthom Ltd
process about you-Agency Staff Only
Through your application and throughout your time as an
agency worker, it will be necessary for us to collect and use personal data
about your medical history and any illnesses that you have. This information is
called “special category data.” Depending on the job opportunity we will also
process criminal conviction information about you via a criminal records bureau.
When we collect special category data and criminal conviction data about you we
will provide you with additional information about how we will use your special
category data and criminal conviction data. We will inform you prior to us
requesting this data.
5. What additional personal data do we use and process about
you throughout your working time with us-Agency staff & Clients
Whilst you are registered with us we may be required to
collect and use further personal data. This personal data may be obtained from
you directly or from third parties as set out below:
Clients in relation to Agency Staff – we may obtain
feedback forms post placement or to support an investigation;
Agency Staff in relation to clients- we may obtain feedback
forms post placement or to support an investigation;
Occupational health providers – to assess your
suitability to remain working once you are an agency worker;
Providers of criminal background checks – to assess
your suitability to remain working once you are an agency worker;
Umbrella companies – to facilitate payment for work
completed and to ensure you are being paid correctly;
Referees – to obtain updated references to assess your
suitability to remain working once you are an agency worker;
Regulatory bodies – to ensure you can legally remain
practising in your chosen profession; or
Law Enforcement Agencies – to comply with any requests
for access to personal data.
6 Why is your personal data shared across Wilthom Ltd
companies?
The personal data that you provide will be shared within
Wilthom Ltd, to enable us to provide our services to you and to ensure that our
legal and regulatory obligations are achieved.

We will share your personal data with the third parties set

working with us, we will occasionally send you information we feel would be of

transfer your personal data globally outwith Wilthom Ltd in the UK.

We have put in place appropriate security measures to

unauthorised way, altered or disclosed. In addition, we limit access to your
personal data to only those employees, agents, contractors and other third
parties who have a business need to know. They will only process your personal
data on our instructions and they are subject to a duty of confidentiality.

of a breach where we are legally required to do so.

Your right to request access to your personal data –

personal data we hold about you corrected, though we may need to verify the
